These Terms and Conditions ("Terms") govern your use of SignalHR, a digital platform providing AI-powered employment law guidance and related services, operated by Matthew Craig Varley, 24 Dane Close, Alsager, Stoke-on-Trent, ST7 2HZ ("we", "us", "our").

By accessing or using SignalHR at www.signalhr.co.uk, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

1. About SignalHR

SignalHR provides AI-powered guidance, tools, and calculators relating to UK employment law. The platform is intended to help individuals and businesses understand employment law concepts, processes, and entitlements. SignalHR also facilitates connections between users and independent HR specialists where users choose to request a referral.

2. Not Legal Advice

SignalHR is not a law firm and is not regulated by the Solicitors Regulation Authority or any other legal regulatory body.

Nothing on SignalHR constitutes legal advice. All content, AI-generated responses, tools, calculators, documents, and guidance provided through the platform are for informational and educational purposes only. They do not constitute legal advice, legal representation, or a solicitor-client relationship.

You should not rely solely on information provided by SignalHR when making decisions that may have legal consequences. If you have a legal matter, you should seek independent advice from a qualified solicitor or employment law specialist.

We make no warranty that AI-generated guidance is accurate, complete, up to date, or appropriate for your specific circumstances. Employment law is complex and fact-specific. AI responses may contain errors or omissions.

3. Eligibility

You must be at least 18 years of age to use SignalHR. By registering, you confirm that you are 18 or older and that all information you provide is accurate and truthful. SignalHR is intended for use by individuals and businesses based in the United Kingdom. We make no representations that the platform is appropriate for use in other jurisdictions.

4. Account Registration

To access certain features of SignalHR, you must register for an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@signalhr.co.uk if you become aware of any unauthorised use of your account. We reserve the right to suspend or terminate accounts that we reasonably believe have been used in breach of these Terms.

5. Subscriptions and Payment

Certain features of SignalHR are available on a paid subscription basis. Subscription plans, pricing, and features are set out on our pricing page and may be updated from time to time.

Subscriptions are billed in advance on a monthly or annual basis depending on the plan you select. Payment is processed securely through Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel.

All prices are stated in pounds sterling (GBP). VAT may apply depending on your circumstances.

You may cancel your subscription at any time through your account settings or by contacting us at hello@signalhr.co.uk. Cancellation will take effect at the end of your current billing period. We do not offer refunds for partially used subscription periods unless required by law.

We reserve the right to change subscription pricing with reasonable notice. We will notify you by email before any price changes take effect.

6. Free Tier

A limited free tier is available that provides access to certain tools and a restricted number of AI chat interactions. We reserve the right to change, restrict, or remove free tier features at any time.

7. Specialist Referrals

SignalHR may facilitate introductions between users and independent HR specialists listed on the platform. These specialists are independent third parties and are not employees or agents of SignalHR.

We do not endorse, warrant, or guarantee the quality, accuracy, or suitability of any advice or services provided by specialists. Any engagement between you and a specialist is a separate arrangement governed by that specialist's own terms.

SignalHR accepts no liability for the acts, omissions, advice, or conduct of any specialist. Specialist referral is available to subscribers only. A subscription must be active at the time of referral.

8. Acceptable Use

You agree not to use SignalHR to provide false, misleading, or fraudulent information; harass, threaten, or abuse other users or specialists; attempt to gain unauthorised access to any part of the platform; use the platform for any unlawful purpose; scrape, copy, or reproduce platform content without our written permission; introduce malicious code, viruses, or harmful material; or use the platform in a way that could damage, disable, or impair its operation.

We reserve the right to suspend or terminate your access immediately if we reasonably believe you have breached these terms.

9. Intellectual Property

All content on SignalHR, including but not limited to text, tools, calculators, software, design, and branding, is owned by or licensed to us and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on SignalHR without our prior written consent.

You retain ownership of any information or documents you upload to the platform. By uploading content, you grant us a limited licence to process that content solely for the purpose of providing the service to you.

10. Disclaimer of Warranties

SignalHR is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy, completeness, or reliability of any AI-generated content; the availability or uninterrupted operation of the platform; that the platform will meet your specific requirements; or that any errors will be corrected.

11. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of SignalHR, including loss of income, revenue, or profits; loss of employment or employment rights; any tribunal claim, legal proceeding, or legal cost; reliance on AI-generated guidance that proves to be inaccurate or incomplete; or any act or omission of an independent specialist.

Our total aggregate liability to you for any claim arising out of or in connection with these Terms or your use of the platform shall not exceed the total amount paid by you to us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

12. Third Party Services

SignalHR uses third-party services to operate the platform, including Stripe for payment processing, OpenAI for AI functionality, and Supabase for data storage. Your use of the platform is also subject to the terms and privacy policies of these providers. We are not responsible for the availability, accuracy, or conduct of any third-party service.

13. Changes to the Platform

We reserve the right to modify, suspend, or discontinue any part of SignalHR at any time, with or without notice. We will endeavour to provide reasonable notice of material changes where possible.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by email or by posting a notice on the platform. Your continued use of SignalHR after changes are posted constitutes your acceptance of the updated Terms.

15. Termination

You may close your account at any time by contacting us at hello@signalhr.co.uk. We reserve the right to terminate or suspend your account at any time if we reasonably believe you have breached these Terms or for any other legitimate business reason. On termination, your right to use the platform ceases immediately. Any outstanding subscription fees remain due.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
